<NVance> Since this Board last met on March 16, 2000, much has occurred, 
<NVance> including an illegal board meeting on March 31, 2000, the resignation of
<NVance> 7 directors,  the election of 1 director, and board recognition of full 
<NVance> membership status  for all ALHN webmasters.
<NVance> On behalf of myself and Barb, I would like to welcome Noel Matthews as
<NVance> our
<NVance> newest director, and thank all the candidates for their willingness to 
<NVance> run.  We hope that they and all ALHN's webmasters, both ALHN, Inc.
<NVance> members and non-members, will continue to work together toward achieving 
<NVance> our #1 goal of permanent stabilization and prosperity for ALHN and all 
<NVance> ALHN webmasters. 
<NVance> Because this is a special meeting called for the sole purpose of a vote 
<NVance> to  place an emergency amendment before the membership, no other business
<NVance> is  on the agenda. The Chair will entertain a motion on the emergency 
<NVance> bylaws  amendment.
<Barb> Whereas the Bylaws of the American Local History Network,
<Barb> Inc. are in violation of the Idaho Nonprofit Corporation Act, 30-3-21(2)

<Barb> and law, I move that  the ALHN, Inc. Board of Directors unanimously approve
<Barb> in accordance with Bylaws Article III, Section 13, and the  Idaho Nonprofit
<Barb> Corporation Act, 30-3-75, a membership vote on the emergency amendment to
<Barb> the Bylaws as published April 15, 2000 to the ALHN-Membership-Voting
<Barb> List, to be conducted on the ALHN-Membership-Voting List Polls for a
