10/03/00 ALHN Membership Notice re 09/30/00 Executive Session From: Norm & Carol Date: Tue Oct 3, 2000 11:39am Subject: Report of Board Action to ALHN Webmasters The board met in Executive session on September 30, 2000 at 7PM to discuss irregularities in the performance of, and charges/grievances against, Ms. Barbara Lavin as Secretary/Webmaster of ALHN, Inc. Present were: Kathy Leigh Norm Vance Annette Bame Peebles Debi Houser Kendrick Lesley Moss, who was appointed acting secretary Absent was: Barbara Lavin Given Ms. Lavin's significant contributions in helping to save ALHN, Inc. in April of this year, it was with deep regret that we, the Board of Directors of the American Local History Network, Inc., were forced to meet on the matter of the election irregularities during the last election. If, however, the Board were to ignore this issue, it is our opinion that we would not only be setting a bad, or harmful precedent, but also be guilty of failing to act in good faith on behalf of the network and the membership. Having heard the charges against Ms. Lavin and having read all evidence presented, including, but not limited to, her reporting of the facts, the Board hereby found on the 30th Day of September of the year 2000: On September 24, 2000, during an election, and without the 96-hour waiting period required by the Bylaws, ALHN Secretary Barbara Lavin subscribed to the ALHN-membership-voting list three (3) individuals, one of whom was not yet an ALHN webmaster. This action was taken a) after Ms. Lavin had been advised by both President Kathy Leigh and Vice-president Norm Vance that such an action would be in violation of the ALHN Bylaws and voting procedures; b) after both Ms. Leigh and member Carole Hammett had posted publicly to the ALHN@egroups list in regard to this matter; and c) after Ms. Leigh had telephoned and left a message for Ms. Lavin. Since Ms. Lavin had co-authored both the amendment and the election procedures less than six months ago, cited each on numerous occasions previous to this time, and always followed the original procedures without question up until this election, it is the unanimous opinion of the Board that "misinterpretation" was not a factor, and that said actions were taken contrary to law, bylaw, policies and procedures, and evidence of malfeasance of office. In determining the appropriate action to take in this matter, the Board took into consideration not only the current charges, but a number of earlier issues, including but not limited to, her failure on numerous occasions to maintain the website in a timely manner, her failure on numerous occasions to notify the Board or membership of her unavailability to perform the functions and responsibilities of the office of Secretary/Webmaster, her failure to change the ALHN, Inc. Idaho registered agent from Jerry Dill, and her failure to update the alhn.org domain registration, which, to this date, still includes the email address of Jeff Weaver, as well as Ms. Lavin's old email address and mailing address from May 2000. Please be advised that Ms. Lavin has been removed from the office of Secretary/Webmaster, by unanimous decision of the Board, effective immediately. Ms. Lavin has been instructed to turn over the National webpage passwords, the WorldNIC password and any other domain registration records, correspondence, and records of the corporation in her possession to the President, Kathy Leigh.
