CERTIFICATION OF RESOLUTION
OF
THE MEMBERSHIP OF
WESLEYAN CEMETERY OF CINCINNATI

We, Peter J. Randolph, President, and Frances Garr, Secretary of the above-named corporation, not for profit, a corporation duly organized under the laws of the State of Ohio, hereby certify that a meeting of the membership of the Corporation was held in the offices of the Corporation on January, 1989, at which time all the members of the Corporation were present for the purpose of executing and filing certain documents with the Ohio Secretary of State in accordance with Section 1702.58 of the Revised Code of Ohio. We further certify that the following is a full, true and correct copy of the resolutions as they appear in the records of the Corporation; that they have not been altered, amended or repealed and are now in full force and effect; that we are the duly authorized officers of the Corporation empowered to make certified copies of its record in its behalf.

 

 

RESOLVED:

that the Corporation execute a formal document for filing with the Secretary of State of Ohio confirming that the Corporation confirms it was created before September 1, 1851; that is does hereby elect to be governed by the laws of Ohio passed since that date; subsequent to that date it has taken such action under laws then in effect as to make it subject, as a matter of law, to the constitution of 1851 and laws passed thereunder, and, further confirms that it shall hereinafter abide by all of the terms of all applicable Sections 1702.01 to 1702.58 of the Ohio Revised Code.  
 

RESOLVED:

that Peter J. Randolph and Frances Garr are hereby appointed to execute the above document and to further file, forthwith Amended Articles of Incorporation, not for profit, to conform with terms of 501(c)(13) of the Internal Revenue Code.  

RESOLVED:

that the officers of the Corporation are hereby empowered to retain and pay counsel to execute the above documents and to execute such other documents as may be necessary, on behalf of the Corporation and to take such action as may be necessary to carry out these resolutions, and, further, to execute any further amendments which may be required for Internal Revenue Service approval.  
 

IN WITNESS WHEREOF, we have signed our names and attached the corporate seal of the Corporation this 23rd day of January, 1989.
